6. Brokerage Fees & Commissions Applicability
Where Apex Excalibur General Trading L.L.C S.O.C acts as a broker, facilitator, or intermediary in global commodity transactions:

Fee Structure: Brokerage fees, commissions, or trading margins are applicable to all transactions facilitated by the Company and shall be specified in individual Fee Protection Agreements (FPA), Irrevocable Master Fee Protection Agreements (IMFPA), or relevant commercial contracts.

Payment Terms: Commissions become due and payable in accordance with the agreed payment milestones (e.g., upon issuance of Letter of Credit, loading of cargo, or presentation of shipping documents/Bill of Lading).

Liability: The party designated as the payor in the commercial agreement remains fully responsible for settling all agreed brokerage fees without deduction, set-off, or delay.
7. Non-Circumvention & Intermediary Operations (Direct & Indirect Parties)
Apex Excalibur General Trading L.L.C S.O.C strictly protects its proprietary network of buyers, suppliers, producers, and industry contacts. By engaging with us, you irrevocably agree not to bypass, circumvent, or independently contact any entity introduced by the Company.

Direct Parties (Principal Buyers or Sellers): If you engage with us as a direct client or principal, you agree not to negotiate or transact directly with any supplier, manufacturer, refinery, or end-user introduced by the Company without our explicit written consent and agreed compensation.

Indirect Parties (Brokers, Facilitators, or Intermediaries): If you engage with us as an intermediary, you strictly agree not to solicit the Company’s principal clients, nor disclose their identities to third parties in an attempt to exclude the Company from any transaction, deal structure, or fee agreement.
Breach & Remedies: Any unauthorized circumvention will result in immediate termination of business relations. The circumventing party shall be held legally and financially liable for all bypassed commissions, lost profits, and related legal costs under UAE law.
8. Refunds & Cancellations
Due to the nature of international commodity trading and customized procurement, refunds, cancellations, exchanges, or returns are subject to the terms agreed between the parties and applicable commercial contracts.
Orders or commodity shipments that have entered production, procurement, packaging, shipping, or customs clearance may not be eligible for cancellation or refund unless otherwise agreed in writing.
Any approved refund shall be processed using the original payment method unless otherwise mutually agreed.
9. Shipping, Delivery & Bill of Lading
Ownership, risk transfer, shipping responsibilities, and delivery obligations shall be governed by the applicable purchase agreement, commercial invoice, agreed Incoterms®, and shipping documentation.
Where applicable, the Bill of Lading (B/L), Air Waybill (AWB), Commercial Invoice, Packing List, Certificate of Origin, Insurance Certificate, and other trade documents shall constitute the official shipping documentation for the transaction.
Delivery schedules are estimates only and may be affected by shipping carriers, customs authorities, force majeure events, port congestion, regulatory inspections, or circumstances beyond our reasonable control.
10. International Trade & Export Compliance
Our import and export activities are subject to UAE laws and regulations, destination country regulations, customs requirements, and applicable sanctions or trade compliance obligations.
Customers and business partners are responsible for ensuring that the importation, distribution, resale, and use of purchased goods comply with all applicable laws, licensing requirements, customs procedures, sanctions, and trade restrictions within their respective jurisdictions.
